Terms and Conditions

Wordsmith is currently operated by Euwyn Goh and Yash Wanvari, pending incorporation. These terms govern your use of Wordsmith.

1. What Wordsmith is

Wordsmith is an AI-assisted editorial platform for writers. It is a tool that authors use to edit their own writing. It is not a tool that generates writing on the author's behalf.

2. Eligibility and accounts

Wordsmith is currently in open beta, and anyone can create an account. By creating an account, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and that the information you provide is accurate. You are responsible for keeping your account credentials secure and for activity that occurs under your account.

3. Intellectual property

You retain all rights to the content you submit to Wordsmith and to the edited output produced through your use of the platform. This includes copyright, moral rights, and publishing rights in:

  • Your original manuscript or essay text.
  • Edited output where you have reviewed and accepted suggestions.
  • Any editorial commentary or chat exchanged with Fred.

Wordsmith claims no ownership of, license to, or commercial interest in your content beyond what is strictly required to operate the service for you, as described in Section 4.

4. Your content

You are solely responsible for the content you submit to Wordsmith. You represent that you have the necessary rights to the content you submit, and that your use of Wordsmith does not violate any third-party right, publishing contract, or applicable law.

By submitting content, you grant Wordsmith a limited, non-exclusive, royalty-free license to process that content for the sole purpose of providing the service to you: storing it on your behalf, transmitting it to model providers to generate editorial suggestions, and displaying the resulting suggestions back to you. This license terminates when you delete the content or your account.

5. Representations about the service

The following are operating commitments of Wordsmith:

  • Wordsmith does not write original content on your behalf. It does not author new passages, generate prose from a prompt, or ghostwrite.
  • Wordsmith edits the words you have already written. Some suggestions propose alternative phrasings at the sentence or line level, offered for you to review and accept or reject. Wordsmith does not rewrite your work wholesale or replace your voice with its own.
  • Wordsmith does not train AI models on user manuscript content. We may use data about user accept/reject decisions to improve the editorial systems; this data does not include manuscript text and is anonymized at training time, as set out in our Privacy Policy.
  • Wordsmith does not retain residual rights, licenses, or commercial interest in user-submitted or user-edited work.

6. Acceptable use

You agree not to use Wordsmith to:

  • Submit content you do not own or have permission to submit.
  • Submit content that is unlawful, infringing, defamatory, or that exploits or endangers minors.
  • Attempt to access another user's account, content, or workspace.
  • Reverse-engineer, scrape, or otherwise extract the underlying systems, models, or prompts behind Wordsmith.
  • Use Wordsmith in violation of any model provider's usage policies.

7. Payments, billing, and refunds

Wordsmith offers subscription plans and one-off purchases such as manuscript edits. Current pricing is shown at checkout and on our site. We may change pricing over time; any change applies to future purchases and future billing periods, not to a period you have already paid for.

Payments are processed by Stripe. Your card details are handled by Stripe and are not stored by Wordsmith.

Subscriptions bill in advance and renew automatically until cancelled. You can cancel at any time to stop future billing. Cancellation takes effect at the end of your current billing period, and you retain access until then.

Payments are non-refundable except where required by law, though we may issue refunds at our discretion. One-off purchases such as manuscript edits are non-refundable once the edited work has been delivered to you.

8. Third-party model providers

Wordsmith uses commercially-licensed third-party language models from Inception Labs (Mercury) and OpenAI to produce editorial suggestions. Your content is sent to these providers solely for that purpose. Wordsmith operates under standard API terms with each provider. See our Privacy Policy for further detail.

9. Beta status and the service "as is"

Wordsmith is in open beta. Features may change, break, or be removed. The service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Wordsmith disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Editorial suggestions produced by Wordsmith are suggestions only. You are responsible for reviewing and deciding whether to accept any suggestion. Wordsmith makes no guarantee that suggestions will be free of errors, factual inaccuracies, or omissions.

10. Limitation of liability

To the maximum extent permitted by law, Wordsmith and its founders, contractors, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses arising out of your use of the service. Our total cumulative liability under or in connection with these terms will not exceed the greater of (a) the amount you paid Wordsmith in the twelve months preceding the claim, or (b) USD 100.

11. Termination

You may close your account at any time by contacting us. We may suspend or terminate your access if you breach these terms or use the service in a way that creates risk for Wordsmith, other users, or our model providers. Upon termination, your content will be handled according to the retention and deletion practices described in our Privacy Policy.

12. Changes to these terms

We may update these terms as the product evolves. Material changes will be communicated to active users by email. The “Last updated” date will always reflect the most recent revision. Continued use of the service after a revision constitutes acceptance of the revised terms.
